BETA LIFE SCIENCE STANDARD TERMS AND CONDITIONS OF SALE
These Standard Terms and Conditions of Sale ("Agreement") govern the sale of goods and services ("Products") by Beta LifeScience ("Seller") to the entity identified in the purchase order ("Buyer"). By purchasing or using our products, Buyer agrees to comply with these terms. In case of any conflict with a written contract signed by both parties, the terms of the signed contract will prevail.
1. GENERAL TERMS
1.1 Formation of Agreement
By submitting a purchase order ("PO"), accepting shipment of Products, or the commencement of services, Buyer agrees to be bound by these terms. Objections must be made in writing before accepting the goods or services.
1.2 Application of Terms
These terms apply to all purchases. Any conflicting terms proposed by the customer are not applicable unless explicitly agreed to in writing by Beta LifeScience.
1.3 Modifications
Beta LifeScience reserves the right to amend or revise these terms at any time. Changes are effective upon posting on our website or upon direct communication with the customer.
2. ORDERS AND ACCEPTANCE
2.1 Order Confirmation
An order is an offer to purchase. Beta LifeScience will confirm the order by sending an acknowledgment or confirmation email, which constitutes acceptance.
2.2 Product Descriptions
Beta LifeScience makes every effort to ensure accurate product descriptions, but errors may occur. We reserve the right to correct any inaccuracies before processing an order.
3. PRICING AND PAYMENT
3.1 Pricing
All purchases must be paid in USD and may incur a service fee (i.e. 3.5%); however, the final payment amount will always align with the agreed-upon purchase price as specified in the Purchase Order (PO). Beta LifeScience reserves the right to apply an additional service fee to cover administrative and transaction processing costs, including any unforeseen operational expenses.
Unless explicitly stated, all purchases do not include taxes, freight fees, customs duties, special handling, or packaging. We reserve the right to adjust pricing due to unforeseen changes in costs.
By placing credit card orders, the customer/client agrees not to initiate a dispute with their credit card company. Any defect, return, or exchange claims shall be handled as outlined in the applicable section of these terms.
3.2 Payment Terms
Payment is due within 30 days unless otherwise agreed. We accept credit cards, wire transfers, checks, or purchase orders.
3.3 Prepayment
For custom orders, a prepayment of 50% may be required before production or shipment begins.
4. SHIPPING AND DELIVERY
4.1 Shipping Methods and Costs
Shipping fees will be quoted based on selected shipping methods, destination, and product size. Beta LifeScience determines the best shipping method unless specified by the customer.
4.2 Delivery Timelines
Delivery dates are estimates and are not guaranteed. Beta LifeScience is not responsible for delays due to unforeseen circumstances (e.g., weather, shipping delays).
4.3 Incoterms
- Ex Works (EXW): Title and risk transfer to the customer upon shipment.
- Free on Board (FOB): Beta LifeScience covers costs to the port, with risk transferring when goods are loaded onto the vessel.
- Cost, Insurance, and Freight (CIF): Beta LifeScience covers freight and insurance to the destination port, but the customer is responsible for customs and delivery charges.
5. ORDER CANCELLATION
5.1 Free Cancellation
Orders can be canceled without charge within 24 hours, subject to production/assembly stage.
5.2 Cancellation After 24 Hours
A cancellation fee of up to 25% of the order may apply, depending on the production stage.
5.3 No Cancellation After Shipping
Once an order is shipped, cancellation is not accepted. Refused deliveries will incur applicable fees, including the full order charge.
6. INSPECTION AND CLAIMS
Upon receipt, Buyer must inspect for visible damage. If damage is noted, it must be recorded on both the carrier's and Buyer's copies of the delivery receipt. Claims for concealed damage, defects, or shortages must be reported within 7 days of delivery. Failure to notify Beta LifeScience within this period waives any right to make a claim.
7. RETURN AND REFUND POLICY
7.1 Eligibility for Return and Refund
To qualify for a return or refund, one of the following conditions must be met:
- The product has a valid quality issue.
- The product does not conform to the provided specifications.
Additional Conditions:
- Claims must be submitted in writing within 30 days of receipt of the product. Claims made after this period will not be accepted.
- Proof of purchase, such as a receipt, is required.
7.2 Damages and Issues
Customers are advised to inspect their orders upon receipt. If an item is defective, damaged, or incorrect, please contact Beta LifeScience immediately to resolve the issue.
7.3 Resolution Process
Beta LifeScience will take responsibility for valid quality-related issues and provide appropriate resolutions, which may include (subject to assessment):
- Return Process
To initiate a return, please follow these steps:
- Submit all claims to inquiry@betalifesci.com or sales1@betalifesci.com Ensure that claims include supporting evidence, such as photos or reports.
- Once your return request is approved, Beta LifeScience will provide a return shipping label along with detailed return instructions.
Note: Items sent back without prior approval will not be accepted.
- Exchange:
- To exchange an item, please follow these steps:
- Return the original purchase according to the return process outlined in Section 8.3.(a)
- Place a new order for the desired item.
- Refund Process
Refunds will be issued to the original payment method within 10 business days of approval. Please note that additional processing time may be required by your bank or credit card provider.
8. WARRANTIES AND LIMITATION OF LIABILITY
8.1 Product Warranty
Products are warranted for defects in materials and workmanship under normal use, as per the expiration date specified. The warranty is void if the product is improperly stored, handled, or used.
8.2 Warranty Exclusions
The warranty does not cover damages due to neglect, accidents, external conditions (fire, flood, etc.), improper use, or third-party products.
8.3 Limitation of Liability
Beta LifeScience's liability is limited to the amount paid for the specific product involved. We are not liable for indirect, incidental, or consequential damages.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Ownership Rights
All content on Beta LifeScience's website, including trademarks, logos, and product data, is owned and protected by copyright and trademark laws.
9.2 Product Use
By placing an order, the customer/client agrees not to resell the product received as is. Customers are permitted to conduct any biochemical engineering experiments, assemble reagent kits, or formulate reagents using the purchased products. However, direct resale of the product in its original form is strictly prohibited.
9.3 Infringement Disclaimer
The customer is responsible for ensuring product use does not infringe third-party rights. Beta LifeScience is not liable for infringement claims.
10. CONFIDENTIALITY
Both parties agree to keep proprietary or confidential information shared during the transaction confidential and not disclose it to third parties without written consent, unless required by law.
11. CUSTOMER INDEMNIFICATION
The customer agrees to indemnify Beta LifeScience from any claims, damages, or liabilities arising from the use of its products, including claims from third parties.
12. FORCE MAJEURE
Neither party is liable for failure to perform obligations due to events beyond their reasonable control, including natural disasters, war, strikes, or government regulations.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
This agreement is governed by the laws of the Pennsylvania, U.S. without regard to its conflict of law principles.
13.2 Dispute Resolution
- For U.S. Customers:
Any disputes arising out of this agreement shall be resolved through legal proceedings initiated in either the local court or any state court within the United States. Either party may file a lawsuit at any time and retain the option to settle the dispute outside of court at any stage of the process.
- For International Customers:
For disputes arising from cross-border transactions, the parties agree to resolve the matter through binding arbitration in a neutral location mutually agreed upon by both parties. Arbitration shall be conducted under the rules of the United Nations Commission on International Trade Law (UNCITRAL) or an equivalent governing body. A single arbitrator will be appointed by mutual consent of the parties. The arbitration decision shall be final and binding.
14. MISCELLANEOUS
14.1 Severability
If any provision of this Agreement is unenforceable, the remaining provisions remain in effect.
14.2 Entire Agreement
This Agreement constitutes the entire understanding between the parties, superseding all prior agreements related to its subject matter.
